An issue certificate (Swedish: emissionsbevis) is proof of the right to receive new securities in a share issue. Examples are subscription right certificates (teckningsrättsbevis), which show a right to subscription rights, and bonus share right certificates, which show a bonus share right. They are mainly used in kupongbolag, companies outside a central securities depository.
When the right is exercised, holdings change. Once the issue has been registered with Bolagsverket, the new shares must be entered in the share ledger so the ownership picture is accurate.
