Can I get help creating my share ledger in NVR?

How do I get started with the share ledger and ownership management in NVR?

What happens after the first year?

Why do I need a share ledger?

Under Swedish law, the board of directors is responsible for maintaining the share ledger, which serves as the official record of who owns shares in the company. Not maintaining a compliant share ledger can lead to legal issues and complicate future business opportunities.

Does NVR provide equity insurance for unlisted holdings?

You can hold a capital insurance policy with another provider while still maintaining your share ledger in NVR. There is no requirement for the share ledger to be held with the same provider that supplies the capital insurance.

Vad är viktigt att tänka på vid uppdatering av aktieboken för att försäkra sig om att den är korrekt och uppdaterad?

Säkerställ att man har rätt identifiering på alla ägarna. Är det svenska ägare så validerar NVR automatiskt på person- och organisationsnummer där adress hämtas via tillgänglig register.

Hur uppdaterar jag uppgifter hos Bolagsverket efter ändringar i aktieboken?

Aktieboken uppdateras inte hos Bolagsverket. Däremot så kräver vissa förändringar registrering på bolagsverket och det kan också vara så att verklig huvudman ändras som en konsekvens av förändringar i aktieboken och detta ska då uppdateras på Bolagsverket.

Vilken information behövs för att uppdatera aktieboken efter genomförd nyemission?

Man behöver fördela de nya aktierna de som tecknat dem. Följande information om tecknarna ska framgå av aktieboken, person/orgnummer, namn, adress samt datum för införande (datum för emissionen)

Vilka specifika steg krävs för att uppdatera aktieboken korrekt?

Beroende på vilken typ av förändring som skett så uppdateras aktieboken genom att man registrerar en ny händelse i NVR.

Hur uppdaterar jag aktieboken med innehav med hembudsförbehåll och förköpsförbehåll?

Om du ska registrera ett innehav eller en aktiepost med hembudsförbehåll eller förköpsförbehåll gör du enkelt det genom att ange det när du upprättar din aktiebok, eller registrerar en emission eller överlåtelse i din aktiebok.

Who is responsible for the share ledger?

It is the responsibility of the board to ensure that the share ledger is created, kept up to date, and made available. Under the Companies Act, failure to comply may result in fines or imprisonment, and board members may be held personally liable for damages if someone suffers financial loss due to an incorrect or missing share ledger.

Having a correct share ledger is therefore not only a legal obligation – it also protects both the company and its shareholders. In our experience, very few companies today can produce a fully correct share ledger without investing significant time and resources in the process.

Vilka effekter kan det få att inte ha ordning på sin aktiebok?

Ett ”svart hål” beskriver i det närmsta effekterna av att inte ha sin ägardata under kontroll.Det leder till att tid och pengar spenderas både internt och på konsulter vid tex transaktioner eller nyemissioner men det följs sällan upp eller mäts separat.

Vad händer om man inte har ordning på sin aktiebok?

Aktieboken är ett bolags enskilt viktigaste styrdokument ändå är det extremt eftersatt när det kommer till hur företag hanterar sin ägardata. Enligt vår erfarenhet är det extremt få företag idag kan lämna ifrån sig en korrekt aktiebok utan att lägga både mycket tid och pengar under processen.

Why should the share ledger be kept digitally?

All limited companies are legally required to maintain a share ledger, but in many companies it is difficult to locate, outdated, or filled with manual errors. This creates significant risk. If the share ledger is incorrect, the company risks making faulty decisions, encountering problems during capital raises, or in the worst case becoming involved in legal disputes.

Keeping the share ledger digital is about control, transparency, and security. It greatly increases the likelihood that the information is always accurate, up to date, and accessible. This can be critical during investments, company sales, inheritance situations, and due diligence processes. It also makes collaboration with shareholders, investors, and advisors easier.

How secure is NVR?

NVR uses BankID authentication and encrypted servers to protect sensitive information. Only authorised individuals have access to the share ledger, and all changes are logged with full traceability.

Hur gör man för att ta fram aktiebok eller skapa ny aktiebok?

Det är enkelt att både upprätta och skapa ny aktiebok. How does NVR's custody account work?

If a company in which you are a shareholder has chosen to keep its digital share ledger with NVR, your holding in that company will automatically appear in your custody account once you create an account.

This means you can use NVR to view all your connected unlisted holdings in one place. You can easily get an overview of the size of your holding, the number of shares, the quota value at the latest valuation, and much more.

In addition, automatically generated settlement notes are delivered to your equity account if a share transfer is registered for one of your holdings.

En aktiebok ska uppdateras omgående när förändring har skett och får inte vara äldra än 3 månader gammal.

Hur dokumenteras ett optionsprogram?

Ett optionsprogram föregås normalt av ett styrelsebesult om att ställa ut ett givet antal optioner. Detta antal utgör programmets högsta tillåtna antal optioner som kan ges ut. Normalt följs detta sedan av att samtliga eller delar av det totala antalet ges ut till nyckelpersoner. Beroende på.

Hur registreras teckningsoptioner i aktieboken?

Teckningsoptioner registreras inte i aktieboken utan är ett separat register som i sig liknar en aktiebok och kan också påverkas av tex en split.

Du registrerar enkelt en fondemission och får aktieboken uppdaterad automatiskt genom att registrera fondemissionen i NVRs plattform. Välj vilket bolag du vill registrera fondemissionen för, klicka på registrera händelse, fondemission och fyll sedan i efterfrågade uppgifter. Du uppdaterar enkelt aktieboken vid en nyemission genom att registrera den i NVRs plattform. Välj vilket bolag du vill registrera nyemission för, klicka på registrera händelse, nyemission och fyll sedan i efterfrågade uppgifter. När du gjort det uppdateras direkt alla rapporter, ägaröversikter och aktieposter.

Hur registrerar jag en ny aktieägare i aktieboken?

Finns det en tydlig definition av vad som är, och vad som inte är en aktiebok?

Uttrycklig definition vad som avses med en aktiebok finns inte i aktiebolagslagen. Formen för aktieboken kan man utläsa med hjälp av bestämmelserna i 5 kap 1, 2, och 5 §§. Där anges vad aktieboken skall ha för ändamål, dess form och vad den skall innehålla.
