An extraordinary general meeting (EGM; Swedish: extra bolagsstämma) is a general meeting held when needed during the year, in addition to the ordinary annual general meeting. It is convened by the board when a matter cannot wait, for example a new share issue or an amendment to the articles of association.
The right to attend the meeting is based on the share ledger. The ownership picture must be correct when notice is given and the list of voters is drawn up. Resolutions are minuted, and events affecting the shares must be entered in the share ledger.
